Ana Marić / Managing Partner

Ana Marić is the Managing Partner of MMD with more than 13 years of experience, advising clients in M&A and transaction matters in general, in Serbia and the Balkan region

She founded MMD in 2011, after working for PriceWaterhouse Coopers and Gide Loyrette Nouel.

Her practice focuses on M&A for international clients investing in Serbia.

Ana regularly advises clients on large scale projects – cross border restructurings, JV investments, financing, projects with elements of PPP or similar structures and has developed a strong experience in regulatory matters, notably in the energy and banking and insurance sector.

She was the lead legal advisor on the creation of SEEPEX – the first organized power market in Serbia and advised SIZMEK Inc. in an acquisition in the IT sector. She also advised on the feasibility study of the Belgrade Metro System.

Rastko Mališić is a founding Partner of MMD with more than 12 years of experience, advising clients in M&A and the insurance sector, banking and finance and general corporate law.

Prior to founding MMD, he worked for Gide Loyrette Nouel.

He advised clients on large scale projects – privatizations, infrastructure project and project finance. Rastko developed strong experience in regulatory matters, notably in the insurance and pharma sector.

Rastko advised an international IT fiber-optic leader in setting up their Serbian business. He advised several insurance leaders in expanding both life and non-life insurance business in Serbia. He also advised on the feasibility study of the Belgrade Metro System.

Recently, he developed significant experience in sports law.

Rastko is fluent in English and speaks French.

Since 2015, Rastko is member of the Steering Committee for Rare Diseases. He was also President of the Legal Committee of the Foreign Investors’ Council (FIC) from 2014 till 2016.

Veljko Dostanić / Partner

Veljko Dostanić is founding partner of MMD, with 11 years of experience. Veljko has extensive litigation background, working with the Belgrade Commercial Court prior to joining the profession.

Prior to founding MMD, he worked for Gide Loyrette Nouel.

His clients include major international companies and financial institutions.

Veljko also developed solid experience in real estate matters. His extensive knowledge of FIDIC conditions is invaluable when working with real estate clients. Notably, he advised on construction of several production facilities and supermarkets throughout Serbia.

Veljko also represents several Serbian banks in important litigation matters. He represented many clients in recovery in execution and bankruptcy proceedings and tax related litigations before administrative courts.

Oliver Radosavljević joined MMD in 2012 as a Partner. His background includes 13 years of experience in international law firms.

Oliver is Vice-President of the Food and Agriculture Committee of the Foreign Investors’ Council (FIC).

He specializes in M&A/corporate and commercial matters. Oliver is very present in the FMCG and Energy sector, advising many reputable international clients. He developed a solid expertise in competition and EU law compliance, consumer protection and data protection.

We advised a client, leader in inovative pharma, in relation to many legal aspect and compliance of its non-interventional post-marketing clinical study in Serbia, with respect to collection of data on all therapy protocols of treatment of patients.

SPORTS LAW

This unique and specialized area of law, which requires extensive knowledge of various international rules and codes applicable for different sports, is rather new in Serbia, in terms that there are only few professionals that are involved in it.

As a result of our client base in this area (which includes both sport clubs, sports agents and the players especially in the area of basketball and soccer), we had, among others, the opportunity to lead complex arbitrations before FIBA tribunal, negotiate and draft agreements with NBA clubs and agents as well as to provide our clients full support both on the local as well as the international field.

CORPORATE LAW

LABOR LAW

Labor issues represent a matter which, in Serbia, requires serious legal support. Employers encounter numerous uncertainties related to labor relations, as consequence of a large number of legal acts in this sector and an important role of the state and the labor unions. This is why we find right solutions and ensure a minimum-risk environment for our clients.

Having dealt in the past with many requests of our international clients, we are especially well versed in providing solutions which mirror global solutions to the local market.

We advise several reputable Serbian banks on all labor related issues and setting-up their internal labor regulations. Also, in 2015, we advised on conducting complex redundancy plans in order to adjust clients’ internal business organization.

COMPETITION LAW

With the approaching of Serbia to the EU, competition matters are gaining in importance and the sector’s regulatory watchdog oversees this area with more and more scrutiny year after year. In such circumstances, our clients wish to ensure that their activities and interests are protected and we are at their disposal for providing the adequate legal advice.

Whether a client is filing for a concentration approval, seeks legal analysis in relation to rules on restrictive agreements or prepares materials for a mock dawn raid, our team is at its disposal to provide full legal support.

The Serbian Competition Commission recently performed its first down raid, so one of our historic clients, a FMCG global player, requested from us to the review and update of its globally applied dawn raid manual, by taking into account both specificities its business in Serbia and the locally applied legislation; and to train its staff on the subject matter.

TAX LAW

As many others, the Serbian government is also aggressively pursuing additional revenue, imposing a challenging environment to all investors in terms of taxation. Legal uncertainty (predictability of tax rules) and lack of uniform and consistent application of tax regulation are often cited as some of the main challenges that our clients are facing.

We provide advisory services in respect of the Serbian tax laws, be that advice in transactional tax structuring or within the scope of everyday activities of a company, ranging from VAT issues to matters related to employment.

In 2015, we have successfully closed millstone tax case that significantly changed stance in terms of implementing booking of royalties. It was complex tax related administrative procedure concerning the tax regime of royalties, initiated against our client – multinational consumer goods company – several years ago.

Labor issues represent a matter which, in Serbia, requires serious legal support.
